Companies need money to operate. If they don't operate a non-profit in US, then they can't take donations from US to keep funded.

Here's the deal, having done a fair bit of forensic accounting and nonprofit work:

The Masto leadership were well advised to form a US corporation. It makes the accounting a lot simpler.
